Terms of Use & End User License Agreement

These Terms ("Terms") are a legal agreement between you and NoesisBit (Borja Castellano-Extremadouro, a sole proprietor registered in Washington, USA — UBI 606240494) ("Zaisei", "we", "us") governing your use of the Zaisei mobile application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Service on devices you own or control, for your personal, non-commercial use, subject to these Terms and the app store's terms.

2. Eligibility & accounts

You must be at least 18 years old. You are responsible for keeping your login credentials and device secure and for all activity under your account. Notify us promptly of any unauthorised use.

3. Plans, subscriptions and payment

Zaisei has a free plan and paid subscription plans. What a plan includes — how many bank connections and properties you can track — and what it costs are shown in the app before you buy, and by the App Store or Google Play at the moment of purchase. Accounts you enter by hand are not limited on any plan.

How you are billed

Paid plans are sold as auto-renewable subscriptions through the Apple App Store or Google Play, and payment is charged to your store account when you confirm the purchase. The payment happens entirely inside the store: we never receive or store your card or payment details. See the Privacy Policy for what we do store.

Your subscription renews automatically for the same period — monthly or yearly, whichever you bought — at the price then in force, unless you cancel at least 24 hours before the current period ends. The store takes the renewal payment within the 24 hours before that.

Managing and cancelling

You manage and cancel a subscription in your store account settings — on Apple, Settings → your name → Subscriptions; on Android, Play Store → Subscriptions. It cannot be cancelled from inside Zaisei, because a purchase made through the store is only the store's to undo. Deleting the app, or deleting your Zaisei account, does not cancel the subscription — cancel it in the store as well, or it will keep renewing.

Cancelling stops the next renewal; you keep the plan until the end of the period you have already paid for.

Refunds

Because the purchase is made from the store and not from us, refunds are handled by Apple or Google under their own policies and we cannot issue them ourselves. Any right of withdrawal or refund your local consumer law gives you is unaffected by this.

Price and plan changes

We may change prices or what a plan includes. A change takes effect at your next renewal and never inside a period you have already paid for, and the store will ask for your agreement before charging an increased price.

When a subscription ends

Your account returns to the free plan. Nothing you track is deleted — whatever you had stays, even if it is more than the free plan allows — and for 30 days after the subscription ends you can still add new items up to your old plan's limits. After that you keep and can see everything you have, but cannot add more until you subscribe again.

4. The Service is informational — not financial advice

Zaisei aggregates and displays information about your accounts, holdings and properties. It does not provide financial, investment, tax, accounting or legal advice, and nothing in the Service is a recommendation to buy, sell or hold any asset. You are solely responsible for your financial decisions.

5. Third-party data & accuracy

Account balances, transactions, holdings, market quotes, exchange rates and property valuations come from third parties (including Plaid, Tink, Powens, Finnhub, mapping and valuation providers). This data may be delayed, incomplete, estimated or inaccurate. Market prices are not real-time trading data. Property values are estimates. We do not guarantee the accuracy, completeness or timeliness of any data, and you should not rely on it for time-sensitive or high-stakes decisions.

6. Acceptable use

You agree not to: (a) access accounts or data you are not authorised to; (b) reverse engineer, scrape or disrupt the Service; (c) use it unlawfully or to infringe others' rights; or (d) circumvent security or usage limits. The read-only sharing feature is for sharing your own data with people you trust; you are responsible for who you share it with.

7. Your content

You retain ownership of the data you provide (e.g. properties). You grant us the limited rights needed to operate the Service for you, as described in the Privacy Policy.

8. Termination

You may stop using the Service and delete your account at any time from Profile → Delete account, which permanently removes your data as described in the Data Retention & Disposal Policy. We may suspend or terminate access if you breach these Terms or to protect the Service. Deleting your account does not cancel a subscription bought through an app store — see section 3.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free.

10. Limitation of liability

To the maximum extent permitted by law, Zaisei and its suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill, arising from your use of (or inability to use) the Service. Our total liability for any claim is limited to the amount you paid us for the Service in the 12 months before the claim (or, if the Service is free, a nominal amount). Some jurisdictions do not allow certain limitations, so some may not apply to you.

11. Changes

We may update these Terms. Material changes will be notified in the app; continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-laws rules, and disputes are subject to the courts of that jurisdiction, unless mandatory local law provides otherwise.
